1) Scope
These Terms govern your use of localx.world and any purchase, rental, subscription, or service engagement with Local X Duma Marketing (“Local X”, “we”, “us”). By using the site or engaging our services, you agree to these Terms.
2) Services
Local X provides marketing and technology solutions, which may include:
- 3D hologram display solutions (sale, rental, installation, content setup).
- QR/NFC mini stand solutions.
- AR menu solutions.
- Review management software and related services (automated review requests, AI-assisted replies, social sharing, integrations, and automation).
Exact deliverables, timelines, pricing, usage limits, and inclusions are defined in proposals, statements of work, invoices, subscription plan descriptions, or written agreements. If a written agreement conflicts with these Terms, the written agreement prevails.
3) Website content and results disclaimer
- Website content is provided for general information and may be updated without notice.
- Marketing, SEO, and review outcomes are influenced by external factors (platform rules, competition, customer behavior). We do not guarantee a specific number of reviews, ranking position, revenue increase, or performance result unless explicitly agreed in writing.
4) Orders, acceptance, and client cooperation
- Quotes are valid for the period stated in the quote (or otherwise a reasonable period).
- An order is accepted when we confirm in writing (email/WhatsApp acceptable) or when payment is received, depending on what is agreed.
- You must provide accurate information and timely approvals (logos, media, access, content approvals, platform permissions) necessary for delivery. Delays in providing required inputs may shift timelines.
5) Pricing, payments, subscriptions, and taxes
- Payment terms are stated on the invoice or in the agreement.
- Subscription services may have plan limits (e.g., locations, messages, features) and may charge for overages or add-ons if specified in your plan or agreement.
- Prices may be exclusive of taxes unless stated. Swiss VAT/MWST will be applied if/when legally required.
6) Acceptable use (important)
You agree not to use our website or services to:
- Generate or incentivize fake reviews, mislead customers, or violate third-party platform policies.
- Send unlawful, abusive, or spam communications.
- Infringe third-party rights (copyright, trademarks, privacy) through any content you provide or publish.
- Attempt to bypass security or misuse accounts, integrations, or automations.
You are responsible for compliance with platform terms (Google, Meta, TripAdvisor, WhatsApp providers, etc.) and applicable laws.
7) Software and third-party integrations
If you use our software (including any “Review Manager” components):
- Availability and functionality of third-party integrations can change due to third-party policy or technical changes.
- You are responsible for maintaining valid accounts, credentials, permissions, and compliance for integrated services.
- We may update or modify software features to improve security, performance, or compliance.
8) Hardware sales and rentals (3D hologram units, stands, etc.)
Unless otherwise agreed in writing:
- Delivery and installation dates are estimates; delays may occur due to suppliers, shipping, customs, or scheduling.
- Risk transfers according to the delivery terms stated on the invoice/contract (or, if not stated, upon delivery to your premises).
- For rentals, you are responsible for safe use, suitable environment, and protection against theft, misuse, improper power supply, and physical damage beyond normal wear and tear.
- You must follow any provided operating/safety guidance and ensure safe placement in customer-facing areas.
9) Intellectual property
- Local X branding, website content, and proprietary materials remain our property (or our licensors’).
- Upon full payment, you receive a non-transferable license to use delivered materials for your own business within the agreed scope.
- You may not resell, sublicense, or distribute our deliverables or software access without written permission.
10) Confidentiality
If we receive confidential business information, we will treat it as confidential and use it only to deliver the services, unless disclosure is required by law.
11) Cancellations and refunds
- Work already delivered or time already spent is non-refundable unless explicitly agreed in writing or required by mandatory law.
- Subscription cancellation terms follow your plan and agreement (monthly/annual).
- Custom products or customized items may not be cancellable once production/configuration has started.
12) Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect or consequential damages (lost profits, reputational harm, lost data).
- Our total liability for any claim is limited to the amount paid to Local X for the specific service giving rise to the claim in the three (3) months preceding the event, unless mandatory law requires otherwise.
13) Indemnity
You agree to indemnify and hold Local X harmless from claims arising from:
- Content you provide that infringes third-party rights
- Your misuse of services or hardware
- Your violation of third-party platform policies or applicable laws
14) Suspension and termination
We may suspend or terminate service access if:
- Payments are overdue
- There is suspected misuse, illegal activity, or policy violations
- Continued delivery becomes infeasible due to third-party restrictions or security risks
15) Governing law and jurisdiction
These Terms are governed by Swiss law. Exclusive jurisdiction is Visp (Valais), Switzerland, unless mandatory law provides otherwise.
